Terms of service

Hey there! Thanks for considering working with me. These terms of service explain how things work when you use my website and engage my services. I’ve tried to keep this as straightforward as possible, but if anything’s unclear, feel free to reach out.
1. Acceptance of terms
By using this website or engaging my services, you’re agreeing to these terms of service. If you don’t agree with any part of these terms, please don’t use my website or services.
You must be at least 18 years old (or 21+ where applicable) and legally able to enter into contracts without needing anyone else’s consent to use my services.
2. Services offered
I provide software consulting services to software companies, including:
- Monthly retainer services where I act as your fractional CTO/VP, handling product development, technical leadership, and/or everything else your business needs
- One-off projects including MVPs, automations, migrations, and codebase refactors
The specific scope, deliverables, and pricing for any engagement will be outlined in a separate service agreement that I’ll provide after our sales call.
Retainer services
Monthly retainer services are billed at $5,000 USD per month (subject to change). If you choose to cancel your retainer:
- You can request a refund for unused days in the current billing period, OR
- You can pause your retainer and resume it later (like banking those unused days for future use)
Important: If I don’t receive any response or communication from you for 5 consecutive days during an active retainer, I reserve the right to cancel the retainer without refund. I’m here to help, but I need your engagement to make it work.
One-off projects
One-off projects require:
- 50% payment upfront to start the project
- 50% payment upon delivery
Pricing is determined after our sales call based on your specific scope and requirements.
No refunds are provided for one-off projects once work has begun. If you terminate the project or I terminate it due to your conduct (more on that below), you forfeit the deposit and any work completed.
3. How it works
Here’s the typical flow:
- You fill out my form on the website
- If we’re a good fit, I’ll send you a Cal link to book a call
- We have a call to discuss your needs
- If we both want to move forward, I’ll send you a service agreement
- Once you agree, I’ll send you a payment link (RazorPay for Indian clients, Polar for international clients)
- After payment, we get to work!
4. Payment terms
All payments are processed through third-party payment processors and are subject to their terms and policies as well.
For retainer services, billing occurs monthly. For one-off projects, the payment schedule is as described above (50% upfront, 50% on delivery).
Late payments may result in work being paused or contracts being terminated.
5. Intellectual property & ownership
By default, I retain ownership of all code, designs, templates, processes, and workflows I create. This allows me to reuse components, templates, and approaches across different projects.
Once you've paid in full for a one-off project or completed your retainer engagement, you receive a perpetual license to use the specific deliverables I created for you. However, I retain the right to reuse code patterns, components, and methodologies.
If you want full ownership and exclusive rights, we can discuss that, but it requires additional payment. This will be outlined in your service agreement.
Portfolio usage: I may showcase work I’ve done for you in my portfolio unless you specifically request otherwise.
Work-in-progress: If you cancel a project or I terminate it, you don’t get to keep or use any work completed up to that point. I’m free to use that work however I see fit.
6. What you can’t do
To keep things running smoothly, please don’t:
- Submit spam or false information through my forms
- Use my website or services for any illegal activities
- Abuse, harass, or behave unprofessionally toward me
- Scrape, copy, or steal content from my website
- Attempt to reverse engineer or misuse any systems
- Impersonate someone else or provide fraudulent information
- Share proprietary information I provide you with third parties without permission
Basically, just be cool and professional. That’s all I ask.
7. Termination & cancellation
You can cancel:
- Retainer services at any time (with refund/pause options as described above)
- One-off projects before work begins (full refund of any payments made)
I can terminate or suspend services if:
- You violate these terms of service
- You engage in unprofessional, unethical, or abusive behavior
- You don’t respond for 5+ consecutive days on a retainer (no refund)
- You don’t make payments on time
- I determine we’re no longer a good fit to work together
If I terminate a one-off project due to your conduct, you forfeit your deposit and any work completed. For retainers, no refund will be provided for the current billing period.
8. Disclaimers & limitations
Services provided “as is”:
I work hard to deliver excellent results, but I’m providing services “as is” without warranties of any kind. I don’t guarantee:
- That my services will be uninterrupted or error-free
- That all bugs or issues will be caught
- Specific business outcomes or results
- That third-party services I integrate will work perfectly
Limitation of liability:
To the maximum extent permitted by law, my total liability for any claims related to my services will not exceed the total amount you paid me for that specific project or month.
For example:
- If you paid $5,000 for a monthly retainer, my maximum liability for that month is $5,000
- If you paid $20,000 for a one-off project, my maximum liability for that project is $20,000
I’m not liable for any indirect, incidental, special, or consequential damages, including lost profits, lost data, or business interruption.
This limitation applies even if I’ve been advised of the possibility of such damages.
9. Dispute resolution
If we have a disagreement, let’s try to work it out like adults. I’m always open to conversation and finding a reasonable solution.
If we can’t resolve things through discussion, any disputes will be governed by Indian law and handled in the courts of Chennai, India.
10. Changes to these terms
I may update these terms of service from time to time. If I make significant changes, I’ll update the “Last updated” date at the top.
Your continued use of my website or services after changes are posted means you accept the new terms.
11. General stuff
Entire agreement: These terms, along with any service agreement we sign, represent our entire agreement.
Severability: If any part of these terms is found to be unenforceable, the rest still applies.
No waiver: If I don’t enforce a right or provision, that doesn’t mean I’m waiving it.
Assignment: You can’t transfer your rights under these terms without my permission. I can assign my rights if needed.
